License Agreement

This License Agreement (the "Agreement") is a legal agreement between you (the "User" or "Licensee") and Onx Labs (the "Licensor" or "Onx UI") for the use of components, assets, templates, and tools available on www.onxui.com (the "Website").

By purchasing Onx UI Library or Products (including the free versions), you are agreeing to be bound by this license agreement. Learn what you can and can't do with the components, assets, templates and tools once you get access.

Grant of License

a. Licensor hereby provides Licensee a non-exclusive, non-transferable, global license to use the Component Library only for internal business purposes.

b. This license is issued for a one-time charge and does not include any ongoing subscriptions or payments.

Restrictions

a. Sell, sublicense, distribute, or give third-party rights to the Component Library or any of its components (original or modified).

b. Include any components or materials from the Component Library in a UI kit, library, template, or framework.

c. Distribute or publish the Component Library or any of its components online in such a way that unauthorised third parties can access it.

d. Post the item link on the web or distribute it (e.g., embed) using Webflow Clonables public access or similar platforms.

a. Add any of the Component Library's design files to the End Product as is.

f. Distribute the Component Library as is, in a tool or template, or as source files. This includes using the Component Library to develop a template or library for another kind of platform or software.

g. Re-distribute or make available the Component Library as-is or with superficial modifications.

g. Re-distribute or make available the Component Library as is or with minor changes.

i. If you acquired an individual license, publish the item in your team library or grant editing permissions to others. If more than one person wants to use the file, a team license must be obtained.

Examples of Usage Not Allowed by the License:

• Sharing or publishing files or assets within the files online or making them available publicly.
• Sharing files or assets with other users who have not purchased a license.
• Creating a Sketch, Adobe XD, Framer, React, Vue, HTML, Bootstrap, or Tailwind version of Onx UI and making it available for free or for sale.
• Creating a UI kit, theme, template, design system, or starter kit using components, designs, assets, or templates from Onx UI (even if modified) and making it available for free or for sale.
• Creating an "app builder" or "website builder" that uses components, designs, assets, or templates from Onx UI (even if modified).

Intellectual Property Rights

a. Onx Labs Pty Ltd owns the Component Library, including its code, documentation, structure, and design.

b. The licensee accepts that no title to the intellectual property in the Component Library is transferred to them. Onx Labs Pty Ltd will retain all title, ownership, and intellectual property rights in and to the Component Library.

Warranty and Liability

a. The Component Library is given "as is" with no express or implied guarantees, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

a. Licensor will not be liable for any damages, including lost profits, lost savings, or other incidental or consequential damages, resulting from the use or inability to use the Component Library, even if Licensor has been advised of the possibility of such losses.

Termination

This Agreement will terminate automatically if Licensee violates any of its terms and conditions. Upon termination, the Licensee must discontinue all usage of the Component Library and destroy all copies.

General

a. This Agreement contains the parties' full agreement and supersedes any prior or contemporaneous oral or written agreements about this subject.

a. If any part of this Agreement is deemed to be void and unenforceable, the rest of the Agreement will remain valid and enforceable in accordance with its terms.

Returns and Refunds Policy

a. If you have any substantial concerns with the library, please notify us by emailing hello@onxui.com within 30 days, and we will issue a full refund. We understand that our competitors do not provide this level of guarantee, and we believe it is critical to differentiate out by providing a more reliable and customer-friendly service.

b. We cannot provide refunds if you change your mind after purchase, do not utilise the file, or are unfamiliar with a specific too's capabilities. We strongly recommend using the free version of Onx UI (https://onxui.com/free) before purchasing to ensure it meets your needs. We fully support Onx Labs' products and resources.

If we give a refund, you agree to destroy all files within 24 hours and may not utilise Onx UI in any projects (including personal/non-commercial ones).

IMPORTANT: We reserve the right to refuse a refund, especially if you previously purchased the product, sought a refund, and then repurchased it to receive updates.

Governing Law

a. Onx Labs Pty Ltd owns the copyright for Onx UI. You are only permitted the permissions specified in this license; all other rights are reserved.

b. Onx Labs Pty Ltd reserves the right to seek legal redress for any unauthorised use of Onx UI outside the limits of this license, particularly if the assets are used to produce a rival product (e.g., library, UI kit, or templates) or published online.

Modifications

The Company reserves the right to amend this Licensing Agreement for its website at any moment without notification. By using this website, you agree to be governed by the then-current version of the Licensing Agreement.
